Broker-Carrier Agreement
Terms and Conditions governing all loads tendered by National Transport Services LLC. By accepting a Rate Confirmation, Carrier agrees to be bound by these terms.
Effective: January 1, 2025
Double-Brokering & Re-Brokering Prohibition
Carrier shall not re-broker, assign, interline, subcontract, or transfer the shipment to another carrier without prior written authorization from NTS.
- 1.Carrier shall pay liquidated damages of $5,000.00 per occurrence.
- 2.Immediate forfeiture of payment for the shipment.
- 3.Immediate termination of the business relationship.
- 4.Carrier remains fully liable for any resulting damages, claims, cargo loss, or legal expenses.
Unauthorized re-brokering constitutes a material breach of contract.
Fraud & Identity Protection
Carrier warrants that all submitted documents (W-9, insurance, authority, driver information) are accurate and belong to the legal entity accepting the load; that Carrier is not operating under another entity's authority without disclosure; and that Carrier has not altered, manipulated, or misrepresented its identity, MC number, insurance, or banking information.
- 1.Identity theft or use of another carrier's authority.
- 2.Carrier packet manipulation or falsified insurance documentation.
- 3.Banking fraud, payment redirection, or synthetic identity fraud.
NTS reserves the right to verify identity and insurance at any time.
Carrier Responsibilities
Carrier agrees to the following obligations on every load:
- 1.Not to disclose rates or agreement terms to customers.
- 2.To properly load and unload using appropriate equipment.
- 3.To verify the VIN matches the dispatch paperwork before loading. Immediately notify NTS if the VIN, year, make, model, or dispatch information does not match the vehicle presented.
- 4.Not to drive vehicles.
- 5.To take clear, date-stamped digital photographs of all four sides, the roof (if practical), interior (when authorized), odometer (if applicable), and any pre-existing damage before loading and after delivery.
- 6.To email signed Bill of Lading and photos immediately upon delivery.
- 7.To safeguard all vehicle keys while in Carrier's possession. Lost or damaged keys, key fobs, access cards, or replacement programming costs resulting from Carrier's negligence are the sole responsibility of the Carrier.
Carrier assumes full liability for damages caused by deviation from dispatch instructions.
Cargo Liability & Deductible Responsibility
Carrier acknowledges full cargo liability from the time the vehicle is loaded until final delivery and signed Bill of Lading completion.
- 1.Carrier must maintain active cargo insurance sufficient to cover the declared value of the vehicle being transported.
- 2.Any cargo insurance deductible is solely the responsibility of the Carrier and shall not be passed to NTS or the customer.
- 3."Act of God," weather, road debris, vandalism, theft, or unknown damage claims do not relieve Carrier of liability unless specifically denied in writing by their insurance provider.
If Carrier's insurance denies a claim for any reason — including policy exclusion, lapse in coverage, unscheduled driver or equipment, misrepresentation, or failure to comply with policy requirements — Carrier shall remain personally and financially responsible for the full value of the damage. NTS reserves the right to offset any unpaid claim amounts against current or future invoices.
Payment Terms
Payment is made via Direct Deposit (ACH). Standard terms are Net 30 Business Days from receipt of a complete invoice packet.

All documents must be submitted within 24 hours of delivery to [email protected]. NTS reserves the right to withhold payment for outstanding claims, service failures, fraud or misrepresentation, or contract violations. NTS may offset amounts owed by Carrier under any load against payments due under any other load.
QuickPay Option
QuickPay is available upon request and must be agreed to in writing. The following deductions apply to the carrier's settlement amount:
- 1.2 Business Days — 5% deduction
- 2.5 Business Days — 3% deduction
- 3.10 Business Days — 2% deduction
- 4.15 Business Days — 1% deduction
Delays & Weather
Carrier shall immediately notify NTS of any mechanical breakdown, accident, weather event, traffic closure, law enforcement delay, or any circumstance that could affect scheduled pickup or delivery.
- 1.Storage or additional fees resulting from Carrier negligence are the sole responsibility of the Carrier.
- 2.NTS reserves the right to deduct unpaid charges from settlement.
- 3.Carrier shall take all reasonable precautions to protect vehicles during transport and shall not operate in unsafe weather conditions when doing so would unreasonably increase the risk of damage.
Dispatch Acceptance & Electronic Communications
By accepting a Rate Confirmation, Carrier confirms that it has reviewed and accepted all dispatch instructions, vehicle information, pickup and delivery locations, equipment requirements, and these Carrier Terms and Conditions.
- 1.Text messages, emails, electronic signatures, and communications through NTS's dispatch platform constitute written communication under these Terms and Conditions.
Equipment Requirements
Carrier warrants that all equipment used to transport vehicles is properly maintained, rated for the load being transported, and suitable for the specific vehicle assigned.
- 1.Carrier shall maintain all ramps, straps, chains, winches, and tie-down equipment in safe operating condition.
- 2.Carrier shall immediately remove from service any equipment that is unsafe or unsuitable for the assigned shipment.
Unauthorized Driver Clause
Only drivers employed by or contracted through Carrier and properly disclosed to NTS may transport shipments tendered by NTS.
Claims
Carrier shall cooperate in documenting any reported damage at delivery, including photographs, inspection reports, and communication with NTS before leaving the delivery location whenever reasonably possible.
- 1.Carrier shall not admit liability, negotiate settlements, or make promises of payment directly to the customer without NTS's written authorization.
- 2.Carrier authorizes NTS to offset claim amounts against pending invoices.
Governing Agreement & Compliance
These Carrier Terms and Conditions are incorporated into and made part of each Rate Confirmation issued by National Transport Services LLC. If a conflict exists between these Terms and Conditions and the Broker-Carrier Agreement, the Broker-Carrier Agreement shall control unless the Rate Confirmation expressly states otherwise.
- 1.By signing or electronically accepting the Rate Confirmation, Carrier certifies compliance with all FMCSA regulations, including Hours of Service requirements.
- 2.Carrier agrees to transport all shipments safely, lawfully, and in accordance with these Terms and Conditions, the Broker-Carrier Agreement, and all applicable federal, state, and local laws.
- 3.Electronic Bills of Lading, photographs, emails, text messages, GPS records, ELD records, electronic signatures, and other electronically stored information may be used as evidence in resolving disputes, claims, or legal proceedings.
